OrderorBook Terms of Service: How Restaurants Serve & Customers Order

Definitions

“OrderorBook,” “we,” “us,” or “our” refers to Conlee Systems, Inc., along with its subsidiaries, affiliates, joint-venture partners, and any authorized representatives operating the OrderorBook platform.

“Business Members” refers to restaurant owners and their staff who use the platform to manage orders and payments.

“Consumers” refers to customers placing orders through OrderorBook.

"Guests" refers to customers who use the Guest Checkout feature.

“Platform” refers to the website, app, and technology provided by OrderorBook.

“Service” refers to the online ordering and transaction facilitation offered by OrderorBook.


Many Terms of Service are filled with confusing legal jargon. Not here. We value your time, so we’ll keep this simple and straightforward.
By using OrderorBook, you agree to these terms. If you do not—please do not use our platform. It’s that simple.


1. What We Do (And What We Do Not Do)

OrderorBook is a technology platform that connects hungry customers with great restaurants. We provide the tools, while the restaurants supply the food, service, and fulfillment. Here’s what that means for you:

  • ✔ We provide the platform. You can browse menus, place orders, and pay securely.

  • ✔ Restaurants handle food preparation. We don’t cook, package, or touch your meal.

  • ✔ Delivery is managed by the restaurant or third-party drivers. If something goes wrong, please contact them first.

  • ✔ Your payment is secure. We work with trusted processors like Nuvei and Shift4.

What we DO NOT do:

  • ❌ Guarantee food quality. That responsibility lies with the restaurant.

  • ❌ Deliver your food. If your order is late, please call the restaurant using the number provided in your email receipt.

  • ❌ Issue refunds for restaurant mistakes. That’s a matter between you and the restaurant.

2. Placing an Order? Read This First.

Cancellations & Refunds:
Once a restaurant begins preparing your order, it is final. You cannot cancel, and we do not issue refunds—unless the restaurant agrees.


Missing or Incorrect Items?
Please contact the restaurant directly. They are responsible for the food, not us.


Chargebacks & Fraud Protection:
If you file a chargeback after receiving your food, we will dispute it with your payment provider. Repeated fraud? Your account will be banned.


Order Questions? Contact the Restaurant, Not Us.
For inquiries about your order, pickup time, or delivery status, please reach out to the restaurant directly. You can find their phone number on your email receipt.

While we send order confirmations on behalf of the restaurants, we do not handle food preparation, delivery, or real-time customer support for orders.


3. Play By the Rules (Or Get Banned)

We appreciate our wonderful members and customers, yet we do not tolerate abuse. Here’s what can lead to being banned from our platform:

  • ❌ Placing fake orders (yes, we check).

  • ❌ Harassing restaurants or delivery drivers.

  • ❌ Initiating fraudulent chargebacks.

  • ❌ Using stolen payment methods.

4. Restaurant Responsibilities (You Serve the Food, We Serve the Tech)

Menu Accuracy Is 100% the Restaurant's Responsibility

The responsibility for menu accuracy—whether it involves the restaurant owner, their staff, or the OrderorBook team—rests entirely with the restaurant. If there’s an error—such as a wrong price, missing item, or outdated information—it is the restaurant's responsibility, not ours. Conlee Systems, Inc. is not liable for any mistakes in restaurant listings.

As a restaurant partner, your essential responsibilities include:

  • ✔ Preparing food accurately and on time.

  • ✔ Addressing customer inquiries or disputes promptly.

  • ✔ Keeping your menu items and prices up to date.

  • ✔ Ensuring delivery providers manage orders correctly.

  • ✔ Securing your orderorbook.com login credentials.

  • ✔ Complying with food safety regulations and local health laws.

  • ✔ Processing refunds for issues related to food quality or missing items.

We Are Not Responsible For:

  • ❌ Incorrect or missing items.

  • ❌ Issues with food preparation or quality.

  • ❌ Delivery delays caused by your or third-party drivers.

  • ❌ Chargebacks resulting from service disputes.

5. Payments, Fees, Chargebacks & Menu Management

OrderorBook Service Fee
Restaurants in Canada agree to pay $1.00 CAD, and restaurants in the United States agree to pay $1.00 USD per valid order totaling $20 or more before taxes and additional fees, unless other arrangements have been made with OrderorBook in advance. This fee will be charged to the restaurant's card on file on the 15th of each month for orders generated in the previous month.

A valid order is defined as any order totaling $20 or more before taxes and additional fees that is successfully processed and not canceled or refunded by the restaurant. If the fee cannot be charged to the restaurant’s card on the 15th, the restaurant owner agrees to provide a new payment method within 10 days.


When Do Restaurants Get Paid?
Restaurants receive payment after an order is successfully completed. Payment timelines may vary based on the payment processor.


Handling Chargebacks & Customer Disputes

Restaurants agree to cover all chargeback fees, even if a customer makes a false claim. If a dispute arises, the restaurant must provide proof of order fulfillment to challenge the claim. While OrderorBook may assist in dispute resolution, the final responsibility lies with the restaurant.

If a restaurant does not pay chargeback fees within 10 days of receiving notice, OrderorBook reserves the right to suspend or terminate access to the platform until the balance is settled.


Dispute Timeframes
Restaurants must provide proof of order fulfillment within seven days of receiving a chargeback notification. Failure to respond with evidence within this timeframe may result in an automatic resolution in the customer’s favor.


Menu Accuracy & Pricing
Restaurants must ensure menu items, prices, and availability are accurate and up to date. OrderorBook is not responsible for customer disputes arising from incorrect pricing or unavailable items.


Cancellations by Restaurants
If a restaurant cancels an order after payment, they must notify the customer immediately. Refunds for cancellations are the restaurant’s responsibility unless otherwise agreed.


Food Safety & Legal Compliance
Restaurants are responsible for complying with all health and safety laws, food handling regulations, and business licensing requirements. OrderorBook is not liable for any legal issues related to food preparation, allergens, or regulatory violations.


6. Legal Stuff That Protects Us

Indemnification
You agree to defend, indemnify, and hold harmless OrderorBook, its officers, employees, affiliates, joint-venture partners, and any other parties doing business with us from any claims, losses, or damages (including legal fees) resulting from your actions, your use of the platform, or any disputes involving restaurants, customers, or delivery providers.


Account Security & Password Management
Users (both Business Members and Consumers) must keep their login credentials private and never share them with unauthorized persons. Restaurants are responsible for managing staff access and removing permissions when employees leave.

For security, users should change their passwords at least every six months. OrderorBook is not responsible for unauthorized access due to weak or shared passwords.


Protection Against Reverse Engineering & Unauthorized Access
Any attempt to reverse engineer, copy, tamper with, or gain unauthorized access to the OrderorBook platform is strictly prohibited. Violators, whether Business Members (restaurant owners and staff) or Consumers (customers), will face immediate account termination and may be prosecuted to the fullest extent of the law.


Limitation of Liability
We provide the platform, not the food, delivery, or service. If something goes wrong with your meal, we are not liable for damages, losses, or refunds.


Liability Caps
OrderorBook’s liability is limited to the total fees you’ve paid in the previous three months or $100, whichever is greater. This applies to all claims related to our platform, regardless of the legal theory.


Arbitration Clause (No Lawsuits, No Class Actions)
This arbitration agreement applies to both Consumer and Business Members, as well as those using Guest Checkout. By using OrderorBook, you waive your right to take us to court. Any disputes must be settled through binding arbitration in British Columbia, Canada, even if you or your business is located in the United States or another country.

This arbitration agreement encompasses all disputes, including, but not limited to, service fees, chargebacks, user account issues, and platform performance.


Governing Law
This agreement is governed by the laws of British Columbia, Canada. If you’re outside of Canada, you agree that any disputes still fall under these laws.


Third-Party Links & Liability
If you click a link to an outside website, that’s on you. We do not control external links.


Force Majeure (Acts of God and Other Unforeseen Events)
OrderorBook is not responsible for service failures caused by power outages, internet disruptions, cyberattacks, third-party payment processor failures, or any other events beyond our control.

You understand:

    ❌ We are not responsible for breaches caused by third parties, including hackers, malware, or external security vulnerabilities.

    ❌ We are not liable for any indirect, incidental, special, consequential, or punitive damages related to privacy, data security, or account misuse.

User Content & Intellectual Property
When you upload content (menus, photos, reviews), you confirm you own or have rights to that content. You grant OrderorBook a worldwide, royalty-free license to display and share it on our platform to provide our services.

OrderorBook owns all intellectual property related to our platform, including our name, code, designs, and features. Unauthorized use of our intellectual property is strictly prohibited.


7. Protecting Your Data (Our Promise)

We take data privacy seriously and do not sell your information to advertisers. For full details, please refer to our Privacy Policy.


8. Changes to These Terms

Account Suspension & Termination
Users who violate any of these terms (including fraud, chargebacks, abusive behavior, or failing to comply with restaurant obligations) may have their accounts suspended or permanently banned at our discretion. We may update this policy as needed. By continuing to use our platform, you agree to these changes.
